Terms of Service

By accessing or using ZiggyPitch (the "Service"), operated by ZiggyTech Ventures LLC ("ZiggyTech," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using ZiggyPitch, you represent and warrant that you meet these requirements. The Service is intended for business use only; use for personal, family, or household purposes is not supported.

You must create an account to access the Service. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at privacy@ziggytechventures.com if you suspect unauthorized access.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Send unsolicited commercial communications (spam).
• Upload malicious code, viruses, or any software designed to disrupt the Service.
• Impersonate any person or entity or falsely represent your affiliation.
• Scrape, reverse-engineer, or attempt to extract source code.
• Use the Service to defraud clients or engage in deceptive business practices.

We reserve the right to suspend or terminate accounts that violate these terms.

Free Trial: New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial, continued use requires a paid subscription.

Subscription: After the trial, the Service is available on a monthly subscription basis. Fees are billed in advance on a monthly cycle and are non-refundable except as set forth below.

Refund Policy: If you cancel within 7 days of your first paid charge and have not sent more than 3 proposals, you may request a full refund by contacting privacy@ziggytechventures.com. No refunds are issued after this window. Cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' advance notice to your registered email address.

You retain ownership of all content you create through the Service ("User Content"). By using the Service, you grant ZiggyTech a limited, non-exclusive, royalty-free license to host, store, and transmit your User Content solely as necessary to provide the Service.

ZiggyTech retains all rights to the Service itself, including its software, branding, and proprietary features. You may not copy, modify, or distribute any part of the Service without our written consent.

To the extent you use ZiggyPitch to process personal data of your clients, ZiggyTech acts as a data processor and you act as the data controller, as further described in our Privacy Policy. You represent that you have obtained all necessary consents and have a lawful basis to share such personal data with us for processing. We will process such data only in accordance with your instructions and applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIGGYTECH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE — REGARDLESS OF THE FORM OF ACTION — SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZIGGYTECH IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL ZIGGYTECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

You agree to indemnify, defend, and hold harmless ZiggyTech Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

You may cancel your account at any time from the account settings. We may suspend or terminate your account for violation of these Terms, non-payment, or any reason upon reasonable notice. Upon termination, your right to use the Service ceases immediately. We will retain and delete your data per our Privacy Policy.

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or an in-app notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction in those courts.
